Commercial Coordinator
What is the role?
The position holder is responsible for securing mandate, preparing, and leading negotiations of upstream commercial agreements with counterparties. These include oil and gas governance: Joint Operating Agreements, Unit Operating Agreements and auxiliary agreements, Consortium contracts, contracts for unitizations, equalizations, , infrastructure agreements, gas sales and transport agreements, etc. The holder also acts as the Client Lead for a designated Asset Commercial Venture Manager. The Client Lead role ensures the delivery of contract negotiation plans meet the Venture manager expectations.
The position reports to the Commercial Contracts and Agreements Manager. This position is member of this pool of resources that are responsible to deliver a set of specifically assigned contract negotiations. The team has experience with different agreement types with which to support each other.
This provides a strong opportunity for the individual to build a deep knowledge across the full breadth of petroleum and gas agreements. Other peers whose inputs may be required and need to be coordinated include: (i) Technical staff in key areas for the specific agreement such as sub-surface studies, projects engineering, wells etc. (ii) Advisors in key functions supporting negotiations including legal, finance, tax, economics and regulatory.
Responsibilities:
Negotiate commercial agreements, such as JOAs, unitization agreements (e.g., AIPs, equalization agreements, UOAs, Consortium Agreements, redetermination agreements), lifting agreements, abandonment security agreements, framework agreements, etc.
Effectively represent Shell´s interests with partners during contract negotiations.
Act as the Client Lead for coordination of all negotiations within the scope of a designated Venture Manager to ensure priorities and expectations are agreed and met. Update negotiation plans and action logs
Prepare and manage proposals for commencing negotiations, mandates, investment proposals and the approval processes required for agreement signature
Manage complex stakeholder interactions, identify specific challenges or alternatives, propose clear recommendations for action and secure internal functional support to implement
Ensure agreements are aligned with industry practice and in compliance with Shell standards and policies including Ethics and Compliance, Health & Safety etc.
Recommend courses of action to the Venture Manager related to asset and commercial strategy
Coordinate the functional support required to deliver the agreements including legal, NBD, P&T, finance, tax, gas and oil evacuation teams, etc.
Regular progress reporting to Venture Manager. Interaction with other Venture Managers, commercial leads and General Manager
Requirements:
What we need from you
Must have legal authorization to work in Brazil on a full-time basis for anyone other than current employer
Candidate must have at least minimum of 5 (five) years of experience in oil and gas, or any work related
Bachelor's degree in Legal, Law, Engineering, Business Administration, or any related field is required
Fluency in English and Portuguese is a must
Experience in Stakeholder management and Contract agreement
Experience of identifying and evaluating risk-reward balance in commercial contracts to create and protect value
Experience in working with partners on multi-party JVs governed by multiple agreements
Knowledge of Upstream commercial petroleum contract types and regimes
Experience in negotiating and drafting oil and gas industry agreements
Ability to analyze economic and financial valuations to determine preferred deal outcomes and strong logical reasoning and problem-solving skills
Capacity to quickly process long complex agreements and their interactions with high attention to detail
High level of communication skills for negotiation enquiry, advocacy and internal consultation and reporting
High level of motivation, diligence, perseverance, and emotional resilience
Ability to prioritize own and other deal team staff work, work effectively under stress and to manage time pressure that may occur resulting from partner/stakeholder demands or as a consequence of negotiating tactics
